Corporations

Do you want maximum protection from liability for business debts and activities? Do you need a flexible but comprehensive structure for governing your business because of the number of people involved or the amount of your investment? A corporation is probably the right answer for you. There are two basic types: C Corporations and S Corporations. The difference lies in the way your taxes are calculated.

Whichever type of corporation you choose, you need to be
sure that it is a tight and secure wall against business creditors trying to take your personal assets. This is called “piercing
the corporate veil”. If a creditor is successful in a piercing
action, he will be able to levy against all of your property
and not be limited to just the corporation’s assets. The
answer is to “honor the corporate form”. We help you do
this by making sure that your corporation is properly set
up and recognized by the California Secretary of State
and Department of Corporations. We will also put you on
a schedule for your Annual Meetings, and memorialize that meeting in your corporate minutes.
